Terms of Service

Effective date: July 30, 2026

These Terms of Service ("Terms") govern access to and use of BidForge, a software-as-a-service platform available at bid-forge.com and its subdomains (the "Service"), operated by BidForge ("BidForge," "we," "us," or "our"). By creating an account, accessing, or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not access or use the Service.

1.Parties and Definitions

"BidForge" or the "Service" means the web application, APIs, and related tools made available at bid-forge.com, including opportunity search, document ingestion, cost estimation, and automated bid package generation features.

"Customer Content" means any solicitation, drawing, specification, pricing data, company information, or other material that you or your authorized users upload, paste, or otherwise submit to the Service.

"Output" means any estimate, bid package, cover letter, representation, certification, schedule, price proposal, or other document or data produced by the Service, whether generated automatically, semi-automatically, or with your manual edits within the Service.

2.Outputs Are Drafts — You Are Responsible for What You Submit

All Outputs generated by the Service — including but not limited to cost estimates, bid packages, cover letters, technical narratives, past performance references, representations, certifications, compliance checklists, price schedules, and any other document or data the Service produces — are drafts produced by automated tooling for your review. They are provided as a starting point and productivity aid, not as a finished, verified, or submission-ready work product.

You are solely responsible for reviewing, verifying, editing, and confirming the accuracy, completeness, and appropriateness of every Output before you rely on it, sign it, or submit it to a federal, state, or local government agency, a prime contractor, a surety, an insurer, or any other third party. Your decision to submit any document — including a document generated in whole or in part by the Service — constitutes your own representation, not a representation made by BidForge. BidForge does not review, approve, certify, or submit any document on your behalf, and no Output is deemed accepted, endorsed, or submitted by BidForge merely because it was generated within the Service.

BidForge is not a licensed professional estimator, general contractor, engineer, attorney, or accountant, and nothing in the Service constitutes professional estimating, engineering, legal, tax, or accounting advice. You should have qualified personnel — your own estimators, project managers, and, where appropriate, licensed professionals or legal counsel — review any Output before it is used to make a bid, pricing, contractual, or compliance decision.

3.No Accuracy or Outcome Guarantee

Cost estimates and other quantitative Outputs produced by the Service are decision-support tools. Where an estimate cites a source (a rate card, an awarded contract value, a wage determination, or similar), that citation is provided so you can independently verify the figure — it is not, by itself, a guarantee that the figure is correct for your project.

BidForge makes no representation, warranty, or guarantee, express or implied, regarding: (a) the numerical accuracy of any estimate or price; (b) your probability of winning any solicitation, award, or contract; (c) the responsiveness, responsibility, or compliance of any bid package with a particular solicitation's requirements; or (d) the fitness of any Output for a particular project, agency, or purpose. You acknowledge that construction cost estimation involves inherent uncertainty and that actual costs may differ materially from any estimate produced by the Service.

4.Certifications and Representations

The Service may render certification and representation language (including, without limitation, statements regarding small business status, past performance, adverse actions, debarment or suspension, or self-performance of work) based solely on facts and selections that you affirmatively provide or confirm within the Service. BidForge does not independently verify these facts and does not certify anything to any third party on your behalf.

Before using any certification or representation generated by the Service, you must personally review it in full and confirm that every statement it contains is true, current, and supported by your own records. Responsibility for the truth and accuracy of any certification or representation submitted to the federal government — including responsibility under the False Claims Act (31 U.S.C. §§ 3729–3733) and any comparable state or local law — rests solely with you as the submitting contractor. BidForge's role is limited to providing a drafting tool; it does not assume, share, or indemnify against liability for the content of a certification you choose to submit.

5.Subscription, Billing, and Trials

The Service is offered on a subscription basis, billed monthly in advance through our third-party payment processor, Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis until you cancel.

New accounts may be offered a 14-day free trial. A valid payment card is required to start a trial; if you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your card will be charged at the then-current rate for your selected plan.

You may cancel your subscription at any time from your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your then-current billing period; you will retain access to the Service through the end of that period. We do not provide refunds or credits for partial subscription periods, unused capacity, or Outputs already generated, except where required by applicable law.

Each subscription plan may be subject to usage quotas (for example, limits on the number of estimates, bid packages, or document pages processed per billing period). If you exceed your plan's quota, we may limit further use of the affected feature until your quota resets or you upgrade your plan. Current plans and pricing are posted at bid-forge.com and may be updated from time to time; changes to pricing will not apply to your current billing period without advance notice.

6.Customer Content and Data

As between you and BidForge, you retain all right, title, and interest in and to your Customer Content, including any solicitations, drawings, specifications, pricing data, and company information you upload. We do not claim ownership of your Customer Content.

You grant BidForge a non-exclusive, worldwide, royalty-free license to access, host, process, transmit, and display your Customer Content solely as necessary to provide, maintain, and improve the Service for you — including sending Customer Content to third-party subprocessors described in our Privacy Policy (for example, a large-language-model provider used to extract scope and generate Outputs).

We may use aggregated, de-identified usage data — data that has had identifying details removed and does not reveal any individual customer's pricing, solicitations, or company information — to analyze usage patterns, improve the Service, and develop new features. We will never share your specific pricing, cost data, or Customer Content with other customers, and we do not use your Customer Content to train models on behalf of, or for the benefit of, any other customer.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at [email protected] if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

9.Term and Termination

These Terms remain in effect for as long as you maintain an account with the Service. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent or abusive conduct, or if required to do so by law. You may terminate your account at any time as described in Section 5.

Upon termination, your right to access the Service ends, but any provision of these Terms that by its nature should survive termination — including Sections 2, 3, 4, 6, 11, 12, 13, and 15 — will survive.

10.Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, BidForge disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any Output will be accurate, complete, or suitable for any particular solicitation or purpose.

11.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BIDFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST OR UNAWARDED CONTRACTS, LOST BUSINESS OPPORTUNITIES, OR BID PROTEST COSTS, EXPENSES, OR AWARDS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF BIDFORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BIDFORGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID TO BIDFORGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in such jurisdictions, our liability is limited to the greatest extent permitted by law.

12.Indemnification

You agree to defend, indemnify, and hold harmless BidForge and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any document, certification, representation, or bid package you submit to any government agency or third party, regardless of whether it was generated in whole or in part by the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) Customer Content you submit that infringes or misappropriates a third party's rights.

13.Modification of These Terms

We may update these Terms from time to time. If we make a material change, we will provide notice — such as by email to the address on your account or a notice within the Service — at least 14 days before the change takes effect, except where a shorter period is required to address a legal or security requirement. Your continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.

14.Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Bexar County, Texas or Guadalupe County, Texas, and you consent to the personal jurisdiction of those courts.

15.Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.Entire Agreement

These Terms, together with our Privacy Policy and any order form or plan description referenced at signup, constitute the entire agreement between you and BidForge regarding the Service and supersede any prior or contemporaneous agreements, whether written or oral, regarding the same subject matter.
